1. Acceptance & Scope

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("Client" or "User") and HawkFile ("Company," "we," "us"). By accessing our website (www.hawkfile.com) or purchasing any formation, registered agent, tax, or legal filing services, you agree to be bound by these Terms.

2. Non-Legal Services Disclaimer

All information, templates, articles, forms, and guidance provided on our website are for general informational and corporate administration purposes only. If you require legal advice or CPA tax strategy, you must consult a licensed attorney or certified public accountant in your jurisdiction.

3. Services Offered

HawkFile provides administrative business execution services including, but not limited to:

• Preparation and electronic filing of Articles of Organization (LLC) or Articles of Incorporation (C-Corp/S-Corp) with State filing offices.
• Obtaining Federal Tax Identification Numbers (EIN) from the Internal Revenue Service (IRS).
• Registered Agent representation and statutory document forwarding.
• Preparation of Reseller Certificates, Sales Tax Filings, and US Federal Income Tax returns.
• US Commercial Mail Forwarding and virtual office address solutions.

4. Client Responsibilities

You agree to provide accurate, complete, and truthful information during your order application:

• You certify that all company names, manager names, officer details, and identification provided are truthful.
• You are solely responsible for verifying the availability and trademark eligibility of your chosen business name.
• You agree to maintain updated contact details (email, address, phone) in your HawkFile client dashboard.

5. State & IRS Government Fees

Government filing fees (e.g., State Secretary of State charges) are collected by HawkFile on behalf of state agencies. State fees vary by state and entity type. Once an application is submitted to a state government agency, state filing fees are 100% non-refundable under state statutes.

6. Registered Agent & Mail Terms

Registered Agent services are provided on an annual subscription basis. Registered agent representation includes receiving official state correspondence and legal Service of Process (SOP) on your behalf and uploading it to your secure dashboard.

Registered agent addresses may NOT be used as a physical retail location or primary business operations center without explicit written commercial lease agreements.

7. Payment & Recurring Billing

Payments are processed securely at the time of order placement. Recurring annual services (such as Registered Agent renewals or Mail Forwarding plans) will automatically renew annually unless cancelled prior to the renewal billing date.

8. Limitation of Liability

To the maximum extent permitted by law, HawkFile, its directors, employees, and agents shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from state processing delays, government name rejections, tax filing penalties incurred due to client data errors, or third-party bank account rejections.

9. Governing Law & Contact

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
